Operator: Airtm, Inc., an entity registered as a Money Services Business with FinCEN (MSB #31000261600084) (“Airtm”).
Territory: Eligible countries as defined herein (the “Territory”).
Promotion Name: Year Pass(the “Promotion”).
Users may participate in this Promotion in accordance with Airtm’s Terms and Conditions (“Terms”) the Terms shall apply to this Promotion. Any capitalized terms not defined herein shall have the meaning given them in the Terms.
I. Promotion Description
The Promotion consists of granting certain benefits to Eligible Users who, during the Campaign Window, invite new users to register on Airtm using their referral link and accumulate the highest number of valid referrals.
Participation Window:
Start Date: December 1, 2025 – 00:00 EST
End Date: December 25, 2025 – 23:59 EST
The promotional benefits (the “Benefits”) are:
A. Year Pass– Airtm fee exemption for one year (Top 3)
The 3 users with the highest number of valid referrals will receive Airtm fee exemption for a fixed period of twelve (12) months, from January 1, 2026, to December 31, 2026, inclusive (subject to a maximum monthly cap of 100 USDC)
This period will not be extended under any circumstance, whether or not the benefit has been used.
B. 0-fee benefit until January 31, 2026 (4th place)
The user ranked in fourth (4th) place will receive an Airtm fee exemption from January 1, 2026 until January 31, 2026.
The benefit automatically expires on January 31, 2026, whether or not it is used.
C. Nature of the Benefits
The Benefits are not cash, are non-transferable, non-withdrawable, and apply only as internal compensation for Airtm fees.
The fee exemption has a maximum monthly cap of 100 USDC in Airtm fees; if this cap is exceeded within a given month, the user must pay all fees in excess of 100 USDC.
D. Relationship with the Welcome Bonus (for information only)
Independently from this Promotion, new users who register as referrals may receive Airtm’s Welcome Bonus, subject to its own terms and conditions.
Using or not using this Welcome Bonus does not affect the counting of valid referrals, although the referral may lose their Welcome Bonus if not used within the required timeframe.
II. Eligible Users (Requirements)
To participate, users must:
Be natural persons over 18 years of age.
Have an ACTIVE Airtm account
Successfully complete KYC/AML verification processes.
Generate valid referrals through their referral link.
Maintain only one Airtm account per person.
III. Territory and Restrictions
The Promotion is available only in those countries listed by Airtm as eligible (“Eligible Territories”).
It does not apply to persons located in restricted or sanctioned jurisdictions.
Local law may require additional conditions; Airtm may issue country-specific addenda as needed.
IV. Characteristics of the Benefits
1. How the benefit is applied
Airtm will automatically apply the fee exemption on each eligible transaction made by the winner during the corresponding period.
2. Validity periods
Top 3: Twelve (12) full months starting January 1, 2026.
4th place: From January 1, 2026 through January 31, 2026.
No extensions, postponements, or substitutions apply.
3. Applicable currency
The exemption applies exclusively to transactions denominated in USDC.
4. Transactions covered by the exemption
The exemption applies only to the following transactions:

5. Valid referrals
A user will be considered a valid referral if they:
Register for the first time on Airtm using the participant’s referral link;
Successfully complete their KYC/AML verification;
Have never previously held an Airtm account;
Do not share identity, documents, devices, or suspicious behavior with the participant;
Are not identified as fake, duplicate, synthetic, or economically non-substantive accounts.
6. Additional actions by referrals
Referrals are not required to perform a transaction using Airtm to be considered valid but must register in accordance with Section 5.
However, they may lose separate promotional benefits (including the Welcome Bonus) if not used within the applicable timeframe.
V. Campaign Window and Ranking Validation
1. Campaign Window
Start: December 1, 2025 – 00:00 EST
End: December 25, 2025 – 23:59 EST
2. Tie-breaking criteria
In case of a tie:
If the exact tied number corresponds to the top three positions, all tied users will occupy Top 3 positions with no additional tie-breaker.
If more than three users tie for prize-granting positions, the tie will be resolved based on the date and time (America/Mexico_City) at which each user reached their final count of valid referrals. The user who reached it first will be placed higher.
Determination will rely solely on Airtm’s internal systems.
3. Manual review prior to winner announcement
Before announcing winners, Airtm will conduct a manual review to confirm:
Legitimacy of referrals;
Absence of fraud;
Compliance with these Terms and Conditions;
That no duplicate accounts, shared identities, or abusive activity exist.
Airtm may disqualify any participation deemed fraudulent without prior notice.
VI. Loss of Referral Eligibility
A referral will cease to be valid if:
They fail or refuse to complete KYC;
Their account is blocked, suspended, or flagged for suspicious activity;
They are identified as duplicate, fake, or economically non-substantive;
A fraudulent link with the participant is detected.
Only referrals valid at the final validation moment will count.
VII. Exclusions
The following may not participate:
Users engaging in self-referrals;
Accounts created via bots, scripts, or automation;
Users exchanging referrals to manipulate rankings;
Activities lacking economic substance or deemed high-risk;
Corporate or legal entity accounts.
VIII. Communications and Brand Use
Airtm may send operational communications related to this Promotion.
Use of third-party trademarks requires express authorization from their respective owners.
IX. Modifications and Termination
Airtm may modify, suspend, or cancel the Promotion at any time.
